본 연구는 대표이사의 타 기업 이사직 겸임이 기업가치에 미치는 영향을 실증하여 대표이사의 업무 충실성 평가에 대한 새로운 지표를 제시함으로써 회계정보이용자들에게 유용한 정보를 제공하고 구체적 규범 마련의 근거를 제시하고자 한다. 이를 위해 본 연구는 국외 선행연구에서 제시된 가설을 바탕으로 대표이사가 대표이사로 임명된 기업 이외의 기업에서 등기이사로 임명된 경우를 ‘이사직 겸임’으로 정의하고, 기업가치의 대리변수로 Tobin’s Q를 사용하였다. 기업가치와의 관련성을 검증하기 위해 OLS 회귀분석을 사용하였으며 모형의 문제점을 보완하기 위해 차기 기업가치를 활용한 분석과 2SLS 분석을 활용하였다. 연구결과, 대표이사가 겸임을 하는 기업은 그렇지 않은 기업보다 기업가치가 낮은 것을 확인하였으며 대표이사의 이사직 겸임 수를 활용한 분석에서도 겸임하는 이사직의 수가 증가할수록 기업가치는 감소하였다. 더하여 내생성을 고려한 분석에서도 대표이사의 이사직 겸임은 기업가치와 유의한 음(-)의 관련성을 보여주어 대표이사의 이사직 겸임 제한을 통해 업무 충실성을 관리할 필요가 있음을 확인하였다.
본 연구는 대표이사의 이사직 겸임이 기업가치에 미치는 영향을 실증분석한 국내 최초의 연구로서 대표이사의 이사직 겸임에 대해 국내 자료를 바탕으로 분석을 수행하였다는 점에서 의의가 있다. 더하여 이사직 겸임 수의 증가에 따른 기업가치 변화를 확인하였다는 점에서 기존 연구와 차별성을 갖는다.
The purpose of this study is to demonstrate the impact of the Representative director with multiple directorships on the firm value and to present new indicator on the representative director's loyalty. Based on the assumptions presented in the preceding studies, we defined the case that a representative director was appointed a registered director by other companies as a 'multiple directorship'. OLS regression analysis was used to verify the relevance between representative director with multiple directorships and firm values. Time lagged model and 2SLS analysis was used to compensate for problems with the model. The results of this study are as follows: (1) In the case of dummy variable, it has a significantly negative(-) relationship with firm value. (2) In the case of a number of directorships , it has a significantly negeative(-) relationship with firm value. (3) In the time lagged model, 2SLS model for controlling the endogeneity, representative director with multiple directorships was significantly related to firm value.
