Unter Verhandlung wird hier ein Modus von sozialer Interaktion zwischen gleichberechtigten Akteuren verstanden, die im Wege des direkten Austausches von Forderungen, Angeboten und Argumenten eine gemeinsame Entscheidung anstreben. Diese Form der Handlungskoordinierung hat in vielen Bereichen von Gesellschaft, Wirtschaft und Politik eine zentrale Bedeutung. Zum Teil wird Governance mit der Tatsache in Verbindung gebracht, dass Staaten, Regierungen und Verwaltungen Entscheidungen, für die sie formal selbständig zuständig sind, mit Akteuren aus anderen Staaten oder Gebietskörperschaften oder mit Vertretern gesellschaftlicher Gruppen bzw. Organisationen aushandeln oder dass private Akteure kollektive Probleme „am Staat vorbei“ in Verhandlungen regeln. Ein solches Verständnis von Governance ist jedoch zu eng, da es andere Koordinationsmechanismen ausschlösse. Richtig ist, dass Verhandlung eine grundlegende Form kollektiven Handelns darstellt, die oft in hierarchischen Organisationen oder in Netzwerken praktiziert wird, die im Markt vorkommt, wenn Akteure komplexere Tauschverträge schließen, und die auch in anderen Wettbewerbsverfahren zur Festlegung von Regeln, Maßstäben des Vergleichs oder Entscheidungen über Bewertungskonflikte erforderlich wird.
