왜 기업은 경영혁신기법을 도입하는가? 제도화이론과 경영유행관점에서 볼 때, 경영자는 기술적 효율성보다는 제도적 정당성을 얻기 위해 이해관계자들이 바람직하다고 믿는 경영관행을 도입한다. 경영유행의 창출자들이 특정 관행의 기술적 효율성에 대한 집단적 믿음을 만들어냄으로써 경영유행이 창출되고, 창출된 유행은 기업과 경영자에게 제도적 압력으로 작용한다. 제도적 압력에 순응함으로써 기업은 사회적 정당성을 얻을 수 있다. 그러나 같은 제도적 압력 하에서도 기업의 대응은 다양하다. 본 연구는 제도적 압력에 대한 기업 간 대응의 차이를 설명하는 주요 요인으로 기업지배구조의 역할을 주장한다. 한국의 현실에서 기관투자자와 외국인투자자는 경영자에게 강력한 영향력을 행사하는 주주집단이다. 즉, 이들이 기업과 경영자에 대한 지지를 철회할 경우 기업의 가치와 경영자에 미치는 영향은 매우 크다. 경영자는 이들이 바람직하다고 생각하는 최신의 관행을 빠르게 도입함으로써 합리적으로 기업을 경영하고 있다는 시그널을 보낼 수 있고, 따라서 기관투자자와 외국인투자자의 위협을 방지할 수 있다. 이러한 인센티브로 인해 기관지분율과 외국인지분율이 높은 기업은 그렇지 않은 기업에 비해 경영유행이 된 혁신기법을 빠르게 도입하게 된다. 그러나 기업집단은 많은 양의 내부정보를 공유하기 때문에, 시그널을 보내기 위한 상징적 채택과 실제 경제적 성과향상을 위한 합리적 선택을 구분할 수 있고, 따라서 기업집단에 소속된 기업들은 유행이 된 경영혁신 기법을 다른 기업에 비해 소극적으로 채택하게 된다. KOSPI에 상장된 322개 기업의 식스시그마 도입을 대상으로 한 실증연구 결과는 기관투자자와 기업집단의 경영혁신 기법의 채택 시기에 미치는 영향에 대한 본 연구의 주장을 지지한다. 그러나 외국인투자자의 영향은 지지되지 않았다.
Why do firms adopt management innovation techniques? According to institutional theory and management fashion perspective, managers tend to adopt a management practice in order to gain social legitimacy rather than to improve economic performance. Fashion setters select a specific practice, develop the norms of rationality that the practice is the most efficient and innovative mean to an important economic end, and finally create a management fashion. Once created, a management fashion plays the role as institutional pressures to managers who are willing to follow it to show the appearance to stakeholders that they are managing the firm rationally. This tendency can be greater when the stakeholders are more powerful. Hence, shareholding of powerful stakeholders -institutional investors and foreign investors- may trigger the quick adoption of a management fashion among Korean firms. However, a business group as an internal governance mechanism tends to have necessary information to distinguish symbolic adoptions from efficient choices and power to refuse an affiliated firm's rushed adoption. An empirical analysis on the sample of 322 KOSPI firms supports our arguments about the roles of institutional investors and business groups in introduction of six sigma programs.
