全流通背景下大股东的减持决策

Abstract: 全流通背景下,大股东怎样选择减持行为是其对资本利得收益与控制权收益进行权衡后的博弈结果。文章引入了不确定性因素,以全社会大股东的收益分布作为考察对象,对全流通背景下大股东的减持决策进行讨论。大股东用以套现的股份获取的资本利得收益和维持控股地位获取的控制权溢价的弹性,内生决定了大股东收益的积累路径和大股东对最优股权结构的选择。
